PTA Approves PTCL-Telenor Merger with Strict Rules

PTA Greenlights Major Telecom Deal

The Pakistan Telecommunication Authority (PTA) has approved a major deal. Telenor Pakistan will merge with PTCL. PTCL is the Pakistan Telecommunication Company Ltd. This approval comes with several strict conditions. The PTA aims to prevent any abuse of market power. This is crucial for fair competition.

Key Conditions for the Merged Entity

The PTA’s decision includes significant regulatory constraints. The new company is bound to invest in spectrum auctions. This action will enhance service coverage. The PTA requires transparency in all financial dealings. PTCL and its mobile arm, Ufone (PTML), must act as separate entities. This aligns with an earlier CCP decision.

Barring Cross-Subsidisation

A core condition is the ban on cross-subsidisation. This practice uses profits from one unit to fund another. The PTCL Telenor merger is now subject to this rule. They must maintain separate, detailed accounts. This ensures transparent pricing structures. This rule applies to both wholesale and retail services. PTCL cannot use upstream profits to fund downstream services. They must also avoid unreasonably low, predatory prices. This is to protect market competition.

Restrictions on Exclusive Deals and Pricing

The regulator has imposed further limitations. PTCL cannot make exclusive deals with other licensees. Such deals must not prevent other operators from buying bandwidth. Discrimination against other telecom operators is barred. This applies to both local and international interconnection. Their pricing must not restrict competitors’ access. Affiliates and subsidiaries cannot receive preferential treatment. The PTCL Telenor merger must ensure a level playing field.

‘MergedCo’ and Future Obligations

The new mobile operator combines Ufone and Telenor Pakistan. The PTA has officially named this entity “MergedCo.” MergedCo must also participate in future spectrum auctions. This is required to resolve capacity and coverage issues. All Telenor Pakistan, TLDI, and Orion Towers obligations transfer to PTCL. The PTCL Telenor merger signals a new phase in the telecom sector.
